Definition
1. "The Company" means Wilkens & Söhne GmbH.
2. "The Customer" means the person, firm or other entity which contracts with the Company for the purchase of the Goods or Services.
3. "The Goods" means products of any kind manufactured or sold by the Company.

1. Scope of applicability

These general terms and conditions apply to all sales of goods and services placed via our online shop.

2. Contracting parties and conclusion of contract

The purchase contract is formed between Wilkens & Söhne GmbH and you, the customer.

The depiction and description of the products in our online shop is not a legally binding offer, but a non-binding online catalogue. You may place our products in the shopping basket without any obligation and correct your entries at any time before submitting your binding order by using the correction aids provided and explained in the online order process.

The point of time of conclusion of a contract with us depends on the payment method chosen by you::

Prepayment of Invoice
We accept your order by sending an acceptance declaration in a separate e-mail within two business days of receipt of your order, in which we inform you of our bank details for payment.

Credit Card Payment
When placing your order with us, you will be asked to provide your credit card details. After authenticating you as the legitimate cardholder, we request your credit card company to initiate the payment transaction and thereby accept your offer.

PayPal
During the order process you will be redirected to the website of PayPal. There you will need to enter your payment details and confirm the payment order to PayPal. After placing the order with our shop, we request PayPal to initiate the payment transaction and thereby accept your offer.

Directpay / Payment Gateway
After placing the order, you will be redirected to the website of the online payment gateway „SOFORT Überweisung“. You will be asked to confirm your payment to SOFORT Überweisung. Thereby the contract with us will be concluded.

3. Contract language and text storage
The contract language is German.

We save the contract text and send you the order summary and our general terms and conditions by e-mail. For security reasons, the contract text is no longer accessible via the Internet.

4. Terms of delivery

In addition to stated product prices, shipping costs will be added. Find out more about shipping costs in the offers on the Shipping and Delivery section of our web site.

Orders are dispatched only. Personal collection of your ordered items is not possible.

5. Payment

We offer the following payment methods:

Prepayment
We will send you an order summary and acceptance declaration with our bank details in a separate e-mail. Please transfer the total amount of your order to our bank account. Upon receipt of payment the goods will be shipped.

Credit card
When placing your order, provide your credit card details. After verification of cardholder details, we immediately request your credit card company to initiate the payment transaction upon placing your order. The payment transaction is carried out automatically by the credit card company and your card is charged.

PayPal
During the ordering process you will be redirected to the website of the online provider PayPal. To be able to pay the invoice amount via PayPal, you must be registered there or register first, legitimize with your access data and confirm the payment order to us. After placing the order in the shop, we ask PayPal to initiate the payment transaction. The payment transaction will be carried out automatically by PayPal immediately afterwards. You will receive updated information throughout the ordering process.

Directpay / Payment Gateway
After placing your order, you will be redirected to the website of the online payment gateway „SOFORT Überweisung“. To pay the invoice amount by directpay bank transfer, you must have an online banking account with PIN/TAN procedure that has been activated for participation directpay bank transfer, legitimise yourself accordingly and confirm the payment order to us. You will receive further information throughout the payment process. The payment transaction will be carried out immediately afterwards by bank transfer and your account will be debited.

6. Retention of title

Title to the Goods shall not pass to the Customer until the Company has received payment in full of the invoice together with any shipping and delivery charges.

7. Warranty and Guarantees

The statutory liability for defects applies. Information on additional guarantees that may apply and their exact terms and conditions can be found with the product itself and on special information pages in the online shop.

8. Liability for claims

We are liable without limitation for claims due to damages caused by us, our legal representatives or vicarious agents

in the event of injury to life, limb or health,
in case of intentional or grossly negligent breach of duty,
in the case of guarantee claims, if agreed, or
to the extent of applicability of the Product Liability Act

In the event of a breach of substantial contractual obligations, the satisfaction of which is essential for the proper fulfillment of the contract, and its observance which the contractual partner may generally rely on, (cardinal obligations) due to slight negligence on our part, on the part of our legal representatives or vicarious agents, liability shall be limited to the amount of generally foreseeable damages at the time of conclusion of the contract. Any other claims for damages are excluded.

9. Settlement of disputes
The European Commission provides a platform for online dispute resolution (OS), which can be found here: https://ec.europa.eu/consumers/odr/.
The company is not prepared o runder any obligation to participate in a dispute settlement procedure before a consumer arbitration board.
